If I want to make it running on other OS than XP is that I only need to bring the GDIPlus dll on my program?

I just tested a bmp to jpg conversion under Windows 2000 and Windows 98 SE, using the redistributable gdiplus.dll from here, and everything worked OK.

By the way, there's one more good point about GDI+, it's hardware-accelerated. At least the AlphaBlt, that is.
Decompressing/compressing images on the gpu is still much slower than on the cpu, btw.
